Professional Terms and Conditions

Article 1: Scope of application
These general conditions constitute, in accordance with article L 441-1 of the French Commercial Code, the sole basis of the commercial relationship between the parties.
They define the rights and obligations of the company La Médaille Française, a simplified joint-stock company with a share capital of €1,000, whose registered office is located at 38 Chemin de Lannedarre, 65100 Lourdes, registered in the Tarbes Trade and Companies Register under number 938 112 182 (the “Company”) and of any professional wishing to benefit from the products and services offered by the Company (the “Client”).
The general conditions are systematically attached to all invoices issued by the Company, and are communicated to any Customer who requests them, it being specified that any order for products or services implies, on the part of the Customer, acceptance without restriction or reservation of these general conditions, whatever the clauses which may appear on the Customer's documents, and in particular any general conditions of purchase.
The Company is entitled to make any changes it deems useful.
For any questions or complaints relating to the products and services ordered, their order, or their personal data, the Customer can contact the Company at the address of its head office located at 38 Chemin de Lannedarre, 65100 Lourdes.


Article 2: Orders

The Customer places an order with the Company in accordance with the product catalog (hereinafter the “Products”) in force (the “Catalog Order”) on the website www.medaillesbecker.com (hereinafter the “Site”), or on a specific custom order accepted by the Company (the “Specific Order”) by any written means (the “Order”).
Any changes to the Order requested by the Customer may only be taken into account by the Company within the limits of its possibilities and at its sole discretion.
In order to place an Order on the Site, under the pricing conditions for professional customers, the Customer must first request the creation of a professional account, using the form available on the Professional Access page. The Company reserves the right to accept or refuse the creation of the account based on the information provided by the Customer. The mandatory information is the company name, the SIRET and VAT number, the K-Bis, email and billing details, and an IBAN. If these comply with the Company's eligibility criteria, Customer Service will confirm the creation of the account to the Customer.
The Customer must always log in to their account to benefit from the rates, payment and delivery conditions reserved for professional customers.

Article 3: Products

Product availability will be indicated on the Site when the order is placed. In the event of unavailability, the delivery time will be adjusted and communicated to the Customer.
La Médaille Française offers the Customer the option to personalize the jewelry ordered with an engraving. Once the choices have been made through the dedicated interface of the Site, the Customer selects the option to order the Product, which is then added to the cart.
Once an order for a personalized product has been placed, La Médaille Française reserves the right to contact the Customer to propose changes to the Product specifications, particularly for technical reasons. If these changes are accepted, the price and delivery time of the Product may be updated. In the event of a price difference between the ordered Product and the modified Product, this difference will be refunded by La Médaille Française (if the price of the replacement Product is lower than that of the ordered Product) or must be paid by the Customer (if the price of the replacement Product is higher than that of the ordered Product) before any delivery.
La Médaille Française reserves the right to refuse any requested customization, particularly for technical or ethical reasons (discrimination, insults, etc.). In this case, La Médaille Française will inform the Customer by any appropriate means. If the Customer fails to modify their customization under conditions acceptable to La Médaille Française, the latter reserves the right to cancel the order and payment outright. In any event, the Customer remains responsible for the texts, words and symbols used for the customization.
La Médaille Française will also be entitled to refuse any order placed by a Customer with whom there is a dispute relating to the payment of a previous order or one that does not comply with these General Terms and Conditions.


Article 4: Rates

The prices of products and services are those in effect on the day of the Order. They are quoted in euros and calculated excluding taxes. These prices are fixed and cannot be revised during their period of validity.
Consequently, they will be increased by the VAT rate, provided that the latter is applicable to the Customer according to their country of delivery, and by transport costs applicable on the day of the Order. The Company reserves the right to modify its prices at any time. However, it undertakes to invoice the products and services ordered at the price in effect on the day of the Order.


Article 5: Payment terms and deadlines
Subject to any special provisions that may be set out in the Order, payment is made either by bank card, or by bank transfer to the RIB shown on the invoice, no later than forty-five (45) days from the end of the month, or by Bill of Exchange statement if this payment method has been validated for the Customer.


Article 6: Discounts and rebates
The prices offered include the discounts and rebates that the Company may grant to the Customer depending on the quantities purchased or delivered or the regularity of its Orders.


Article 7: Late payment

In the event of total or partial late payment on the due date, the Client shall pay the Company late payment interest equal to the interest rate applied by the ECB to its most recent refinancing operation plus 10 percentage points, in accordance with Article L441-10 of the French Commercial Code, on the amount including tax of the overdue invoice, without any formal notice being necessary.
In addition, a fixed compensation of €40 will also be due for recovery costs pursuant to Article D. 441-5 of the French Commercial Code.
In the event of non-compliance with the payment conditions set out above, the Company further reserves the right to suspend or cancel delivery of the Customer's current Orders.


Article 8: Retention of title clause
The Company retains ownership of the products and services ordered until full payment of the price, principal and accessories.
In this respect, if the Customer is subject to receivership or liquidation, the Company reserves the right to claim, within the framework of the collective procedure, the goods remaining unpaid.


Article 9: Delivery

The Products can be shipped to the Member States of the European Union, the French Overseas Territories and the rest of the world.
Delivery is made by handing over the products to the Customer, ensured either by collecting the goods from the Company's head office or by delivery by the Company or a carrier to the place indicated in the Order.
Subject to any special provisions set out in the Order, transport costs are borne by the Customer.
The deadline indicated when placing the Order does not constitute a strict deadline and the Company cannot be held liable to the Customer in the event of late delivery.
In the event of missing or damaged goods during transport, the Customer must make all necessary reservations on the delivery slip upon receipt of said goods. These reservations must also be confirmed in writing within five working days of delivery to Customer Service, then by registered letter with acknowledgment of receipt, failing which the Customer will forfeit his rights.


Article 10: Transfer of risks
The transfer to the Customer of the risks of loss and deterioration will be made upon the Order, materializing the agreement of the parties on the thing and on the price, independently of the transfer of ownership, and whatever the date of payment and delivery of the goods.


Article 11: Force majeure
The Company shall not be held liable if the non-performance or delay in the performance of one of its obligations described in these general conditions results from a case of force majeure within the meaning of Article 1218 of the Civil Code.
Article 12: Applicable legal guarantees
The goods ordered benefit automatically and without additional payment, in accordance with legal provisions:
- the legal guarantee of conformity, for products delivered which are apparently defective, damaged or damaged or do not correspond to the Order or immediate purchase, within the meaning of article 1604 of the Civil Code;
- the legal guarantee against hidden defects arising from a material, design or manufacturing defect affecting the products delivered and making them unfit for use, within the meaning of article 1643 of the Civil Code.
Where applicable, the Company will refund (by credit to the Customer's bank account or by bank check) or replace any goods under warranty deemed non-compliant or defective. In the event of delivery, shipping costs will be refunded based on the invoiced rate and return costs will be refunded upon presentation of supporting documents.
However, the Company cannot be held liable in the event of misuse, negligence or lack of maintenance on the part of the Customer, as in the event of normal wear and tear of the delivered goods, accident or force majeure.
The Company's guarantee is, in any event, limited to the replacement or reimbursement of Products that are non-compliant or affected by a defect.


Article 13: Intellectual property
The Client guarantees to the Company that any Order is free of any literary and artistic property rights of any nature whatsoever, so that the Company is never concerned in this regard.
The Site and all its elements (brand, designs, logos, models, etc.) are the exclusive property of La Médaille Française, which holds the rights. Any total or partial reproduction is prohibited, except with prior validation by La Médaille Française in the case of specific collaborations.

Article 14 – Customer Service
Throughout the ordering process, La Médaille Française customer service is available by email (bienvenue@medailles-becker.com) or by chat during the following hours: 9 a.m. - 12 p.m. / 2 p.m. - 5 p.m.


Article 15 – Personal Data
The Customer's personal data collected and stored by La Médaille Française in connection with any order is intended for the proper management of orders, deliveries and invoices and, in general, the proper execution of the contract arising from these General Terms and Conditions. They are stored for a period of ten years from the Customer's last connection to their Customer Account.
La Médaille Française may also collect the Client's personal data, subject to their consent. The data collected is retained for a period of three years from the Client's last login to their Client Account.
In addition, the Client's personal data is collected and stored by La Médaille Française in order to comply with its obligations to retain commercial documents and invoices (legal basis: legitimate interest). It is stored for a period of ten years from the order.
La Médaille Française reserves the right to use the data transmitted by the Customer for commercial purposes if the Customer accepts this (gives their consent) when registering on the Site by checking the following box: "I wish to receive offers from La Médaille Française". Otherwise, the Customer is considered to have refused this type of use of their personal data. The Customer may at any time indicate their opposition to this type of use.

Article 16: Applicable law – Disputes

These general conditions and the transactions resulting from them between the Company and the Client are governed by and subject to French law.
With regard to the commercial Customer, and in the absence of an amicable resolution, the dispute will be brought before the Commercial Court of Tarbes.
